Transfer of a business branch located in Calliano (TN), via Castel Beseno n. 22/B and n. 22/C, concerning the exercise of mechanical processing activities, manufacturing of construction elements in metal, treatment and coating of metals, mechanical maintenance as well as related activities consisting of the production and marketing of precision mechanical processing products.
More specifically, the company provides services in the field of precision mechanical processing on CNC work centers. It performs turning and drilling work based on customer designs in the field of mechanical transmissions and in particular of epicyclic gears with variable dimensions.
The transfer includes the instrumental goods, intangible assets, and goodwill, including n. 18 units of specialized personnel, as better detailed in the attached appraisals.
The business branch will be sold pursuant to paragraph 3 of 214 CCII, thus excluding the buyer's liability for debts related to the exercise of the transferred business branch incurred before the transfer.
It is noted that:
- the business branch is currently leased to third parties, under a specific lease contract for the business branch and subsequent integrations, which will be resolved by law, even before the natural expiration, in case of award of the business branch. In this case, the Lessee will be required to deliver the business branch to the entitled party within 60 days following the failure to exercise the right of first refusal
- the successful bidder, if deemed appropriate and, in any case, with prior consent and according to the methods and terms defined by the Procedure and the involved leasing company, may request to take over the financial leasing contract, as well as the operating rental/leasing contracts referred to in the attached appraisal, assuming all related burdens.
- in case of award, a right of first refusal for purchase is recognized in favor of the aforementioned lessee, under equal conditions, which may be exercised by them within 5 days from the end of the auction.
- in case of award, it will be the exclusive burden of the successful bidder to take action for the stipulation of a specific contract for the use of the property where the activity is currently carried out, a property owned by third parties.
