Transfer of Business Branch – Construction of Molds and Metal Fittings

Transfer of a business branch based in Ponte San Nicolò (VI), Viale Francia n. 4 Frazione Roncaiette, concerning the activity of construction and marketing of molds and metal fittings, in general, with particular reference to the footwear sector included within the ATECO code 25.99.99.

More precisely, the company has entered the market of molds and metal fittings with particular reference to the footwear sector, operating mainly in the regional and national market.

The transfer includes equipment, machinery, the customer portfolio, and the so-called proprietary mathematics; it should be noted, in this regard, that the latter are concretely represented by formulas, procedures, and instructions necessary for obtaining a final product – that is, in this case, a metal mold for the creation of footwear – that has certain shapes and characteristics (as requested by each client).

The business branch will be sold pursuant to paragraph 3 of 214 CCII, thus excluding the buyer's liability for debts related to the operation of the transferred business branch incurred before the transfer.
